1. Purpose
Zonitel Solutions LLC ("Zonitel," "we," "us," or "our") provides cloud-based business communication services including VoIP calling, SMS/MMS messaging, digital fax, AI analytics, and related tools (collectively, the "Services"). This Acceptable Use Policy establishes the rules and restrictions governing how you ("Customer," "User," or "you") may use the Services. These rules exist to protect the integrity of Zonitel's network, safeguard other customers, ensure regulatory compliance, and prevent harm to third parties.
By using the Services you agree to comply with this AUP in full. Zonitel reserves the right to update this AUP at any time with notice. Continued use of the Services after any update constitutes acceptance of the revised AUP.
2. Permitted Uses
You may use the Services for lawful business communication purposes, including:
- Inbound and outbound voice calls with customers, partners, employees, and prospects who have consented to be contacted.
- Two-way SMS/MMS messaging with contacts who have opted in or who you have a prior business relationship with, in compliance with applicable law.
- Sending and receiving digital faxes for legitimate business purposes.
- Recording calls for quality assurance, compliance, or training purposes, subject to obtaining all legally required consents.
- Using AI analytics features to analyze your own customer interactions for business intelligence and improvement purposes.
- Internal communications among your employees and staff.
- Customer support, sales, appointment scheduling, and other standard business communications.
3. Prohibited Uses — Communications
The following communication practices are strictly prohibited:
- Robocalling & auto-dialing without consent: Using automated telephone dialing systems (ATDS), artificial voice, or prerecorded messages to call mobile numbers without prior express written consent as required by the TCPA (47 U.S.C. § 227).
- Do-Not-Call violations: Initiating telemarketing calls or texts to numbers on the National Do Not Call Registry or your internal DNC list, or failing to honor opt-out requests within 30 days.
- Fax spam: Sending unsolicited commercial fax transmissions in violation of the Junk Fax Prevention Act (47 U.S.C. § 227(b)(1)(C)) or any applicable state law.
- SMS/MMS spam: Sending bulk unsolicited text messages, or messages to contacts who have opted out or never opted in.
- AI-generated deceptive communications: Using AI voice or text tools to impersonate a human without disclosure when required by law (e.g., FCC AI voice disclosure rules effective 2024–2026), or to conduct political robocalls using AI-generated voices without proper authorization.
- Phishing, vishing, smishing: Using the Services to deceive individuals into disclosing personal, financial, or account information.
- Caller ID spoofing: Transmitting false or misleading caller ID information in violation of the Truth in Caller ID Act (47 U.S.C. § 227(e)) or applicable state law.
- Harassment & threats: Using the Services to harass, threaten, abuse, or stalk any person.
- Illegal content: Transmitting, storing, or facilitating any content that is illegal under applicable federal, state, or local law, including content that infringes intellectual property rights, violates privacy laws, or constitutes defamation.
4. Prohibited Uses — Network & System
The following actions that affect Zonitel's infrastructure or other users are strictly prohibited:
- Network abuse: Generating traffic volumes that degrade service quality for other customers or that exceed the reasonable capacity of your subscribed plan. Accounts generating more than 5,000 minutes per month on certain plan tiers may be subject to usage review or plan upgrade requirements.
- Unauthorized access: Attempting to gain unauthorized access to Zonitel's systems, networks, databases, or any other customer's account through hacking, credential stuffing, brute force attacks, or any other means.
- Interference: Taking any action that interferes with, disrupts, or degrades the performance or availability of the Services or Zonitel's network infrastructure.
- Malware distribution: Using the Services to distribute, host, or facilitate the delivery of viruses, malware, ransomware, spyware, or other harmful software.
- Denial of service: Launching or participating in denial-of-service (DoS) or distributed denial-of-service (DDoS) attacks against any system, including Zonitel's.
- Reverse engineering: Decompiling, disassembling, or reverse engineering any Zonitel software or attempting to discover its underlying source code, algorithms, or trade secrets.
- API abuse: Accessing Zonitel's APIs at volumes or in ways not authorized by your plan or by Zonitel's API documentation.
5. Prohibited Uses — Commercial & Resale
- Unauthorized resale: Reselling, sublicensing, or providing third parties access to the Services without Zonitel's prior written authorization. If you are an authorized reseller or white-label partner, separate reseller terms apply.
- Cryptocurrency mining: Using Zonitel's infrastructure, accounts, or APIs to facilitate cryptocurrency mining or any related activity.
- Traffic pumping / access stimulation: Artificially inflating call traffic or facilitating access stimulation schemes to generate per-minute revenue from carrier interconnection.
- International toll fraud: Using the Services to facilitate international toll fraud, SIM-boxing, or any scheme designed to exploit carrier interconnect agreements.
6. TCPA & Messaging Compliance Requirements
As a provider of telecommunications tools, Zonitel does not review or pre-screen customer communications. You are solely responsible for complying with all applicable communication laws. Your obligations include, without limitation:
- Maintaining an accurate, up-to-date internal Do-Not-Call (DNC) list and honoring all opt-out requests within 30 days.
- Scrubbing contact lists against the National Do Not Call Registry prior to any outbound marketing campaign.
- Obtaining prior express written consent (as defined by FCC rules) before sending marketing texts or making automated marketing calls to mobile numbers.
- Including required disclosures (company name, callback number, opt-out instructions) in all marketing SMS messages.
- Respecting calling-hour restrictions (8 a.m. – 9 p.m. local time of the called party) for telemarketing.
- Registering campaigns through carrier-required 10DLC (10-Digit Long Code) or Toll-Free Number verification programs before sending high-volume SMS campaigns.
- For healthcare-related messaging: complying with HIPAA and, where applicable, obtaining a HIPAA Business Associate Agreement with Zonitel prior to transmitting Protected Health Information (PHI) via SMS, fax, or voice. Contact info@zonitel.com with the subject line "BAA Request."
7. High-Risk & Prohibited Industries
Zonitel does not provide Services to businesses operating in the following categories, or that use the Services primarily for:
- Debt collection using ATDS or prerecorded messages without proper consent under the FDCPA and TCPA.
- Unlicensed financial services, cryptocurrency exchanges, or investment schemes.
- Sale or promotion of illegal drugs, controlled substances, or drug paraphernalia.
- Adult content, escort services, or human trafficking.
- Gambling operations not licensed in applicable jurisdictions.
- Political robocall campaigns using AI-generated voices without proper FCC authorization.
- Any activity designated as illegal under applicable federal, state, or local law.
Zonitel reserves the right to suspend or terminate any account it determines, in its sole discretion, to be operating in a high-risk or prohibited category.
8. Monitoring & Enforcement
Zonitel does not routinely monitor the content of customer communications. However, Zonitel reserves the right to investigate any suspected violation of this AUP upon receipt of a complaint, government inquiry, or detection of anomalous usage patterns.
If Zonitel determines, in its sole discretion, that a violation has occurred or is reasonably suspected, Zonitel may:
- Issue a written warning and require corrective action within a specified timeframe.
- Temporarily suspend specific features (e.g., outbound calling, SMS, API access) pending investigation.
- Immediately suspend or terminate the account without prior notice for serious or repeated violations.
- Report the activity to federal or state law enforcement agencies, the FCC, FTC, or other regulators, and cooperate fully with resulting investigations.
- Pursue civil legal remedies, including seeking injunctive relief and monetary damages.
You may be held financially liable for damages caused by your violation of this AUP, including Zonitel's attorneys' fees and costs. See the Indemnification section of the Terms of Use for details.
9. Reporting Violations
If you believe that a Zonitel customer is violating this AUP — for example, by sending spam, making unauthorized robocalls, or engaging in fraud — please report it to us:
Zonitel takes all abuse reports seriously and will investigate within a commercially reasonable time. Submitting a false or bad-faith abuse report may itself constitute a violation of these policies.
